1. Eligibility & Account Requirements

• Who May Use the Services: You must be at least 18 years old and capable of entering into binding contracts.

• Account Creation: To access certain features, you may need to register an account. You agree to provide accurate, current, and complete information and to keep it updated.

• Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
   

2. Key Commercial Terms

• Service Fees: Fees for consulting engagements, project deliveries, or subscription plans are outlined in our separate Pricing Schedule or proposal.

• Payment Terms: Unless otherwise agreed in writing, invoices are payable within 30 days of receipt. Late payments may incur interest at 1.5% per month.

• Refunds & Cancellations: Refunds and cancellation policies are specified in each engagement letter or subscription agreement.
   

3. Revisions to Offering

We reserve the right to modify, suspend, or discontinue any aspect of the Services—including features, pricing, or support—at any time, with or without notice, provided such changes do not materially impair previously agreed deliverables.
 

4. Warranties & Disclaimers

• Our Warranty: We warrant that we will perform services in a professional and workmanlike manner.

• Your Responsibilities: You must provide accurate data, timely feedback, and adequate access to systems.

• Disclaimer: Except as expressly provided, the Services are offered "as is" and "as available," without any other warranties, express or implied.
   

5. Intellectual Property

• Our IP: We retain all rights, title, and interest in our proprietary methodologies, software tools, models, and documentation.

• Your IP: You retain ownership of data and content you provide.

• License: We grant you a limited, non-exclusive, non-transferable license to use deliverables solely for your internal business purposes.
   

6. Suspension & Termination

• Suspension: We may suspend or restrict your access if you breach these Terms or engage in prohibited conduct.

• Termination: Either party may terminate a service agreement according to its termination provisions; these Terms survive termination of any agreement.
   

7. Indemnification

You agree to indemnify, defend, and hold harmless YantrikSoft and its affiliates, officers, and employees from any claims, liabilities, or expenses arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party rights.
 

8. Limitation of Liability

To the maximum extent permitted by law, YantrikSoft’s total liability for any claim related to the Services shall not exceed the fees you paid for the specific service giving rise to the claim. In no event shall we be liable for any indirect, special, incidental, or consequential damages.
 

9. Changes to Terms

We may update these Terms from time to time. We will post the revised Terms with a new "Last updated" date. Continued use of the Services after changes constitutes your acceptance of the new Terms.
 

10. Governing Law & Dispute Resolution

• Governing Law: These Terms are governed by the laws of our principal place of business, without regard to conflict-of-law principles.

• Dispute Resolution: Any dispute shall be resolved through binding arbitration in Kuala Lumpur, Malaysia, under the rules of the Asian International Arbitration Centre (AIAC). Judgment on the award may be entered in any court of competent jurisdiction.
